The ground rules, in plain language.

These terms are an agreement between you and [Registered company name] (“UrielleX”, “we”, “us”), [Registered office address, city, Ghana]. By creating an account, creating an organization or using the service, you agree to them and confirm you have read our Privacy Policy.

If you use UrielleX for an organization, you confirm you are allowed to act for it, and these terms bind that organization too.

UrielleX lets organizations list their members, set dues and accept voluntary contributions. Members pay by mobile money or card through Paystack, and see what they have paid and what is outstanding. Features depend on the organization's plan and may change as we improve the service.

• You must be 18 or over. A parent or guardian should hold the account where contributions relate to a child.
• You can only register a phone number that is yours and that an organization has put on its roster.
• Give accurate details, keep your password private, and tell us straight away if you think someone else has used your account.
• You are responsible for what happens under your account, unless it was caused by our failure.
• You can delete your account at any time from Profile → Delete my account.

If you create or administer an organization, you are responsible for it. In particular, you must:

• only add people to the roster whom you have a lawful reason to include, and tell them their name and phone number are being used on UrielleX;
• set fair, lawful contribution amounts and a clear contribution policy, and apply it honestly;
• connect a payout account that genuinely belongs to the organization, and use the money received for the purposes members were told;
• keep your own records, answer your members' questions about contributions, and handle any refunds;
• follow the law that applies to your organization, including the Data Protection Act, 2012 (Act 843).

UrielleX is not a party to the arrangement between an organization and its members. We don't decide who must pay or how much, and we can't oversee how an organization spends its money.

• Paystack processes every payment. The money is settled by Paystack to the organization's own Paystack subaccount and bank or mobile-money account. UrielleX never receives, holds or pays out an organization's funds.
• Charges are shown before you pay. Each payment carries Paystack's processing fee and a platform fee set by the organization's plan. Depending on the organization's setting, these are added on top for the member or taken from the contribution. The amount shown at checkout is the amount charged.
• A payment counts once Paystack confirms it. If a payment fails or is still pending, it doesn't count toward your dues.
• Refunds and disputes. Settled contributions belong to the organization, so ask its admin for a refund. We can help with information about a transaction, but we can't reverse a payment that has been settled. Card and mobile-money disputes follow Paystack's and your provider's processes.
• We may refuse or stop a payment if we suspect fraud, or if Paystack or the law requires it.

• There is no subscription. Creating an organization and using every part of UrielleX is free, and there is no limit on how many groups or members an organization has.
• UrielleX earns a platform fee on contributions — a percentage of each payment an organization receives, capped per payment. The current rate and cap are on our pricing page and are shown in the app before anyone pays. An organization that receives no contributions pays us nothing.
• The organization chooses whether that fee is added on top of the contribution (the member pays it, shown as a separate line) or comes out of the contribution (the organization absorbs it). Either way it is shown in full before payment.
• We may change the rate or the cap. We will give notice in the app or by SMS before a change takes effect, never after. A change never applies to a payment already made.
• The platform fee is deducted at the moment of payment and is not separately refundable. Where a contribution is refunded, the fee on it is refunded with it.

We send SMS for one-time sign-in and registration codes, and for member invitations an admin chooses to send. Each organization has a monthly allowance of these, and may buy further credits. Password-reset codes are always sent, even when an organization has none left — recovering your account never depends on credit. SMS delivery depends on mobile networks, so we can't guarantee every message arrives or arrives on time.

You must not use UrielleX to:

• collect money for anything illegal, deceptive, or different from what members were told;
• run a pyramid or investment scheme that promises returns, or take deposits in a way that needs a Bank of Ghana licence you don't have;
• add people to a roster without a lawful reason, or harass, spam or impersonate anyone;
• try to get into accounts, organizations or systems you aren't authorised to use, or test, scrape, overload or disrupt the service;
• upload unlawful or infringing content, or content that contains malware.

You keep ownership of what you put into UrielleX, such as rosters, policies and logos. You give us permission to host, process and display it only to run the service for you, as described in our Privacy Policy. The UrielleX name, software and design belong to us.

• You can stop using UrielleX and delete your account or organization at any time.
• We may suspend or close an account or organization that breaks these terms, puts others at risk, or is involved in fraud, or where the law requires it. Where it is safe and lawful, we will tell you why and give you a chance to respond.
• If we ever stop offering UrielleX, we will give organizations reasonable notice so they can export their records.

• Not a bank or financial institution. UrielleX is software for organizing and collecting contributions. It is not a bank, savings or loans company, deposit-taking institution, investment scheme or escrow service. It holds no funds and pays no interest.
• Organizations are responsible for their money. We don't guarantee that an organization will use contributions as promised, deliver anything it offered, or refund anyone. Disagreements about an organization's dues, policy or spending are between its members and its admins.
• Third-party services. Payments depend on Paystack, banks and mobile-money networks. SMS depends on our SMS provider and mobile networks. We aren't responsible for their delays, outages, errors, fees or decisions, though we will help you follow them up.
• Figures on this website are examples. Calculators, sample amounts and fee estimates on the website are illustrations. The amount the app shows at checkout, as priced by our server, is the one that applies.
• No advice. Nothing in UrielleX is financial, legal, tax or accounting advice.
• Availability. We work hard to keep UrielleX running and accurate, but we provide it “as is” and “as available”. We can't promise it will always be uninterrupted or error-free.

Your statutory rights are not affected. Nothing in these terms excludes or limits any right you have, or any liability we have, that cannot be excluded or limited under the laws of Ghana. That includes liability for fraud, or for death or personal injury caused by negligence.

So far as the law allows:

• we are not liable for indirect or consequential losses, lost profits or lost opportunities, or for losses caused by an organization, another user, or a third-party service described above;
• our total liability to you for all claims about the service is limited to the greater of the fees you paid to UrielleX in the 12 months before the claim, or GH₵500.

This limit doesn't apply to money that we ourselves wrongly took or kept, or to anything covered by the last paragraph of the disclaimer.

If you run an organization and a claim is made against us because that organization broke these terms or the law (for example, by misusing contributions or rosters), the organization will cover our reasonable costs of dealing with the claim.

We may update these terms as the service or the law changes. The date at the top shows the current version. For changes that matter, the apps will ask you to review and accept the new terms before you continue. If you don't agree, you can stop using UrielleX and delete your account.

These terms are governed by the laws of the Republic of Ghana. We would like to resolve any problem with you directly first, so please contact us. If we can't, the courts of Ghana have jurisdiction.
